– Buyer has the option, at his expense, to request for joint sampling and sealing, advising the Seller in due time the name of the Independent Surveyor he is appointing.

If the difference of any of the following items between Buyer and Seller certificates does not exceed the below mentioned percentages 1%, then the Seller’s results will be final. Otherwise, at request of either party at his expenses, within 45 days from the B/L date, a third test shall be carried out by a mutually agreed Independent Laboratory, member of Brazilian Association of Surveying Companies, ASCB (ASSOCIACAO DAS SUPERVISORAS E CONTROLADORAS DO BRASIL). The average of the 2 closest analysis results shall be final under this contract and must be settled by a complementary debit note.

1.2. QUALITY INSPECTION AT LOADING PORT:
1.2.装运港质量检验：
1.2.1. THE QUALITY WITHIN THE PARAMETERS INDICATED IN STIPULATION 1.1 OF THIS CONTRACT CERTIFIED IN THE PORT OF LOADING FOR EACH SHIPMENT BY INDEPENDENT SURVEYOR, MEMBER OF BRAZILIAN ASSOCIATION OF SURVEYING COMPANIES, ASCB (ASSOCIACAO DAS SUPERVISORAS E CONTROLADORAS DO BRASIL), SGS OR CCIC BRASIL AND SHALL BE FINAL AND BINDING ON THE PARTIES TO THIS CONTRACT AT TIME AND PORT OF LOADING OF EACH SHIPMENT.
1.2.1.在本合同第1.1条规定的参数范围内的质量，由独立检验员、巴西检验公司协会成员、巴西检验协会（ASSAB）、SGS或CCIC BRASIL认证，在每批货物的装运时间和港口，对本合同的各方具有最终约束力。
1.2.2. THE QUALITY INSPECTION SHALL BE CONDUCTED IN ACCORDANCE WITH THE STANDARD PRACTICE. SOYBEANS SHOULD BE INTACT, SUITABLE FOR HUMAN CONSUMPTION, WITHOUT ANY PECULIAR SMELL AND CONTAIN NO POISONOUS SEEDS/HUSKS, AND MUST NOT BE DETECTED WITH CROTALARIA, MESSAC, CASTOR BEANS AND OTHER RECOGNIZED SEEDS THAT ARE HARMFUL TO HEALTH, SIGNS OF MILDEW, FERMENTATION OR DETERIOR.
1.2.2.质量检验应按照标准做法进行。大豆应完好无损，适合人类食用，没有任何异味，不含有毒种子/豆柄，不得检出青蒿、乱麻、蓖麻和其他公认的有害健康的种子，不得有发霉、发酵或变质的迹象。
1.2.3. THE GOODS MAY NOT BE SHIPPED IF THE QUALITY INSPECTION RESULT DOES NOT CONFORM TO THE QUALITY STANDARDS OF CHINA’S NON-GENETICALLY MODIFIED SOYBEAN STANDARD AND THE SELLER MUST REPLACE THE NON-CONFORMING BATCH (S) WITH ANOTHER (S) ACCORDING TO THE AGREEMENT TIMELY. IF SHIPPED AND WAS REJECTED BY CHINESE CUSTOM, THE SELLER WILL BE RESPONSIBLE FOR IT AND PAY BACK BUYER’S PAYMENT PLUS 1% PENALTY AMOUNT TO BUYER IN 5 WORKING DAYS.
1.2.3.如果质量检验结果不符合中国非转基因大豆标准的质量标准，则货物不得发运，卖方必须根据协议及时用另一批次的货物替换不符合标准的货物。如果发货后被中国海关拒收，卖方将对此负责，并在5个工作日内向买方支付买方的付款和1%的罚款。
1.2.4. THE BUYER SHALL HAVE THE RIGHT TO BE REPRESENTED AT ITS OWN RISK AND EXPENSE AT THE PORT OF LOADING TO VERIFY INDEPENDENT SURVEYOR INSPECTION.
1.2.4.买方有权在装货港自担风险和费用，以核实独立检验员的检验。
1.2.5. THE COST OF THE INSPECTION AND QUALITY CERTIFICATE(S) IN THE BRAZILIAN PORT WILL BE AT THE SELLER’S EXPENSE.
